Terms of Service

Agreement between: Kairos Ventures, LLC (“Kairos,” “we,” “us,” or “our”), a Florida limited liability company and the individual or entity accessing or using SessionIQ (“you,” “your,” or “Provider”)

These Terms of Service (the “Terms”) govern your access to and use of SessionIQ.

Related privacy practices are described in the SessionIQ Privacy Policy.

How agreement works

Before you continue with SessionIQ, we will conspicuously state that by continuing with SessionIQ, you agree to these Terms of Service and acknowledge the Privacy Policy, with clickable links to both documents.

If you continue after that notice, you agree to these Terms. If you do not agree, do not continue and do not use the Service.

Requesting a magic-link email is not, by itself, agreement. Signing in proves who you are. Agreement is the combination of (1) the conspicuous notice with access to these Terms and the Privacy Policy, and (2) your choice to continue.

We may later record that you agreed to a specific version of these Terms and acknowledged a specific version of the Privacy Policy after a successful sign-in (for example a completed magic-link sign-in or a password sign-in). We do not currently claim that SessionIQ is collecting those records for all users, and we do not currently block access through a separate legal-acceptance gate. Future material changes to these Terms may require you to agree again.

1. Eligibility; authority; age

SessionIQ is for users who are at least 18 years old and who are legally capable of entering a binding contract for a professional practice or business workflow.

You represent that:

• You are at least 18 years of age (or the age of majority in your jurisdiction, if higher); and
• If you use SessionIQ on behalf of a business or practice, you have authority to bind that business or practice to these Terms.

2. What SessionIQ is (and is not)

2.1 Service description

SessionIQ helps independent professionals start from work already happening on a calendar (and related practice inputs) and turn that work into reviewed billable business records—drafts, invoices, payment tracking, and related workflow tools.

Core doctrine: Nothing consequential bills or sends automatically. Provider review and explicit action are required for invoicing, sending, and related payment actions that SessionIQ treats as Provider-controlled.

2.2 What SessionIQ is not

SessionIQ is not:

• An accounting system, bookkeeper, CPA practice, or tax preparation service
• Payroll software
• A law firm or source of legal advice
• A financial adviser or collections agency that guarantees payment
• The provider of your underlying professional services to your clients
• A system that currently calculates or reports your practitioner taxes
• A HIPAA-compliant service, or a system presently approved for storing or processing protected health information (PHI)

You remain solely responsible for your professional services, client relationships, licensing, professional judgment, invoicing decisions, tax obligations, and compliance with laws applicable to your practice. Healthcare practitioner use involving PHI requires a separate, deliberate review before any such use or claim is supported.

3. Account; authentication; access

You may access SessionIQ through supported authentication methods, which currently include magic-link email authentication and password authentication (where enabled). Authentication establishes your SessionIQ session.

You are responsible for:

• Maintaining the confidentiality of your login credentials
• Ensuring that magic-link emails and account recovery paths remain under your control
• All activity occurring under your account

Notify us promptly at support@seshiq.com if you suspect unauthorized access.

We may limit, suspend, or refuse access where reasonably necessary for security, abuse prevention, legal compliance, unpaid SessionIQ subscription amounts, or Terms violations.

During Controlled Beta or similar limited-access periods, new account creation may be restricted by operational allowlists or similar controls. Those controls do not change the meaning of these Terms for Providers who are permitted to use the Service.

4. Versions and later re-agreement

These Terms may be updated from time to time (see Section 27).

If we later record versioned agreement after a successful sign-in, that record is intended to identify the Terms version (and Privacy Policy version) that applied. Material future changes may require you to agree again before continued use. We will not treat a magic-link request as that later record.

Until such recording is actually turned on, these Terms still apply to your use if you continue after the conspicuous notice described above.

5. Your responsibilities as a Provider

You agree that you will:

• Use SessionIQ only for lawful professional or business purposes
• Provide accurate account information
• Determine whether work is billable
• Review drafts, sessions, amounts, recipients, and payment instructions before sending invoices or payment requests
• Obtain and maintain all rights, consents, and lawful bases needed to enter, import, connect, and process Client Information in SessionIQ
• Configure calendar, contacts, and other integrations only for accounts you are authorized to connect
• Not attempt to bypass security, entitlement, allowlist, or payment controls
• Not misuse the Service to spam, harass, phish, or unlawfully contact individuals
• Not reverse engineer or abuse the Service except to the extent such restriction is prohibited by law
• Not use SessionIQ to store or transmit unlawful content

You are responsible for the content of invoices, reminders, receipts, payment instructions, and messages you send through or from SessionIQ, and for refunds, chargebacks, and client disputes arising from your professional services.

6. Client Information and calendar / integration permissions

6.1 Client Information

“Client Information” means information about your clients, customers, appointment participants, service recipients, or other individuals that you enter, import, or connect into SessionIQ (for example names, emails, phones, appointment details, and invoice history).

You represent that you have the right to provide Client Information to SessionIQ for processing as needed to provide the Service. Our handling of personal information is further described in the Privacy Policy.

6.2 Integrations

SessionIQ may allow you to connect or import from third-party services such as Google Calendar, Google Contacts, Microsoft / Outlook calendar, Calendly, Apple / iCloud calendar files, QuickBooks Online export, Stripe Connect, and email delivery providers.

Connecting Google or Microsoft calendar is an authorized connection that lets SessionIQ import or refresh calendar information when you (or an in-product action you start) request it. It is not a continuous background live-sync. Apple / iCloud is file import only. SessionIQ does not currently connect to Microsoft / Outlook contacts.

By connecting an integration, you authorize SessionIQ to access and process data made available through that integration for Service features you use.

You can disconnect integrations in product settings where available. Disconnecting generally clears local SessionIQ credentials; you should also revoke access in the third-party provider’s security settings when appropriate.

Third-party services are governed by their own terms. Kairos is not responsible for third-party outages, permission changes, or data handling outside SessionIQ’s control.

7. Invoicing; payment instructions; no automatic billing

SessionIQ provides tools to help you prepare invoice drafts from approved session work, send invoices, track status, record manual payments, and optionally collect card payments through Stripe Connect.

You acknowledge and agree:

• SessionIQ does not guarantee that your clients will open, pay, or respond to invoices
• SessionIQ does not guarantee collection outcomes
• Draft preparation helpers do not replace your review
• Sending an invoice, reminder, or payment link requires your explicit action
• Manual payment methods (for example Venmo, Zelle, Cash App, check, cash, or bank-transfer instructions you configure) are between you and your client
• SessionIQ does not automatically debit those manual methods
• You record manual settlement in SessionIQ when a client has paid you off-platform
• Card collection is optional where valid manual payment methods exist
• SessionIQ does not present client card payment as available unless a usable card payment URL / Checkout session can be provided

Nothing financial happens automatically without explicit Provider action, except externally initiated payment reconciliation needed to truthfully reflect an actual completed payment (for example Stripe webhooks updating payment status after a client pays).

8. Two separate money paths (critical)

You must distinguish:

A. Your SessionIQ subscription You (the Provider) pay Kairos Ventures, LLC for access to SessionIQ (Founder Membership, Standard Membership, or other SessionIQ plans we offer). This subscription unlocks SessionIQ workflow features. It is not payment for your professional services and is not your client paying you. SessionIQ subscription fees are processed through Stripe Billing.

B. Your clients paying you Your clients pay you for your professional services. SessionIQ may help you invoice and track those payments. Where you enable Stripe Connect card payments, card payments are processed through Stripe in connection with your connected account. Kairos is not your client’s service provider, does not provide your underlying professional services, does not own the Provider–client transaction, and does not hold those client funds.

8.1 Stripe Connect authorization and use

If you enable card payments, you authorize Kairos / SessionIQ to use Stripe Connect functionality as needed to provide those enabled features.

You maintain your own connected-account relationship with Stripe under Stripe’s applicable agreements. SessionIQ is software that helps you use those features. SessionIQ is not a marketplace.

Where you enable card payments, SessionIQ may access and use connected-account and payment metadata as needed to:

• create or manage Checkout / payment sessions;
• display payment availability;
• reconcile client payments;
• process webhook-driven payment status;
• close or refresh payment sessions where product behavior requires; and
• provide receipts and status information.

Money-path rule: if SessionIQ cannot provide a usable card payment URL / Checkout session, SessionIQ does not claim that client card payment is available for that invoice.

Refunds, chargebacks, professional disputes, and payment obligations between you and your clients remain your responsibility (and are subject to Stripe’s and your bank’s applicable rules). SessionIQ does not control your refund obligations to your clients.

9. SessionIQ subscription plans and pricing

9.1 Current plans

Unless we communicate otherwise in-product at checkout:

• Founder Membership: $19 per month (see Section 11)
• Standard Membership: $29 per month

Plan availability (including Founder Membership capacity limits) may be shown in-product. Founder Membership may be capacity-limited at enrollment.

9.2 Annual plan

An annual plan is not currently offered. Any “Coming soon” language in the product is informational only and creates no right to purchase an annual plan or any previously discussed annual price.

9.3 Taxes on SessionIQ fees

You are responsible for any taxes that apply to your SessionIQ subscription and to your professional services. SessionIQ does not currently calculate, collect, or remit sales tax on SessionIQ subscription fees as a tax product (including Stripe Tax). If tax is later displayed or collected at checkout, it will follow the billing systems then in use.

10. Free trial

Where offered, a SessionIQ trial currently includes up to 14 days or 7 sent invoices, whichever occurs first.

For trial counting, “sent invoices” means first outbound invoice sends that count toward the trial. Reminders are not designed to count toward the trial invoice limit.

A payment method is required to start the trial under current product design. “No charge today” (or similar) means you are not charged the subscription fee at trial start; it does not mean a card is unnecessary.

If the trial ends without conversion to a paid subscription (or other entitled access), invoicing and related paid features may be limited according to then-current product entitlement rules.

11. Founder Membership pricing

If you are eligible and enroll in Founder Membership, your price for that qualifying Founder Membership is $19 per month for as long as you continuously maintain that qualifying Founder Membership.

Continuously maintained means that Founder Membership stays in effect as the same qualifying subscription, without you canceling it.

An ordinary payment-processing failure, expired card, or similar billing retry does not by itself end Founder Membership or the $19 monthly price, so long as billing is brought current and the subscription otherwise remains that same qualifying Founder Membership. These Terms do not promise a fixed number of grace days. Retry timing follows the payment processor (Stripe) and may change.

If you cancel Founder Membership, the $19 monthly price ends with that cancellation. If you later subscribe again, Founder pricing is not automatically restored unless SessionIQ expressly offers to restore it.

Switching to a different plan or product (including Standard Membership or any future plan) ends Founder Membership pricing for that new plan. This Section does not give you a $19 price on other SessionIQ products.

Applicable taxes, if any, are separate from the $19 monthly subscription price.

While you continuously maintain a qualifying Founder Membership, SessionIQ will not arbitrarily change that $19 monthly base subscription price.

12. Billing; renewal; payment methods

Paid SessionIQ subscriptions renew automatically at the then-applicable plan price until canceled in accordance with these Terms and the billing portal / cancellation controls we provide. For a continuously maintained qualifying Founder Membership, that plan price is the $19 per month price in Section 11, plus any applicable taxes.

You authorize Kairos and its payment processor (Stripe) to charge your payment method for subscription fees and any amounts displayed at checkout on the schedule associated with your plan.

You can generally manage payment methods and billing via the Stripe Customer Billing Portal linked from SessionIQ billing surfaces.

13. Cancellation

Cancellation rule:

If you cancel today:

• Your subscription remains active through the already-paid billing period;
• You will not be charged for the next renewal; and
• Paid subscription access ends on the next renewal date (period end).

Cancellation does not equal account deletion. Canceling stops future SessionIQ subscription renewal; it does not automatically erase your business records, client data, invoices, or calendar imports.

During trial, you may cancel according to the cancellation controls then available (including Stripe portal flows where offered).

To delete your account/data, see Section 22 and the Privacy Policy (privacy@seshiq.com).

14. Failed payments

If your payment method declines, expires, or otherwise fails:

• Your account and business data are not immediately deleted solely because of an ordinary payment failure;
• You should receive a reasonable opportunity to update billing details;
• Access to paid features may be limited while subscription status is past due or unpaid, according to product entitlement rules; and
• An ordinary payment-processing failure does not by itself end Founder Membership pricing described in Section 11.

We do not publish a single universal “grace period” number in these Terms because exact retry timing is largely determined by Stripe billing configuration and may change. Stripe-state edges (for example how past-due, unpaid, or canceled-at-period-end statuses interact with Founder Membership) are not fully specified here and are reserved for counsel review.

15. Refunds (SessionIQ subscription fees)

SessionIQ subscription fees are generally non-refundable after they have been charged, except where required by applicable law or where a billing error needs correction. Kairos may, but is not obligated to, issue a refund or credit in other circumstances. This is not a general refund promise.

Cancellation prevents future renewal; it does not retroactively refund the current already-paid period, except as required by law.

Nothing in this Section is intended to limit non-waivable consumer rights that may apply to you.

Client-to-Provider payments are outside this Section (see Section 8).

16. Taxes and professional obligations

You are solely responsible for determining, collecting, reporting, and remitting any taxes associated with your professional services and client invoices. SessionIQ does not currently calculate or file your practitioner taxes and does not provide tax advice.

17. Third-party services and payments infrastructure

SessionIQ relies on third parties, including Stripe / Stripe Connect, Resend (email), hosting and database providers, and optional integrations you connect (Google, Microsoft, Calendly, QuickBooks, and others as offered).

Your use of third-party services may be subject to those parties’ terms. Kairos does not control third-party services and is not liable for their acts or omissions except to the extent required by law.

Optional SMS, if enabled or offered in a given deployment, may use a telephony provider and is subject to applicable messaging laws and Provider consent obligations. SMS is not a generally assumed production communication channel.

18. Acceptable use

You will not use SessionIQ to:

• Violate law or third-party rights
• Transmit malware or interfere with Service integrity
• Probe or breach systems without authorization
• Scrape the Service in a way that impairs operations or violates these Terms
• Misrepresent your identity or your authority to bill a recipient
• Process information you are not entitled to process

We may investigate and suspend or terminate access for violations.

19. Privacy; data; confidentiality expectations

Our Privacy Policy explains how we process personal information. You agree to review it.

You are responsible for configuring access within your practice and for not sharing your login with unauthorized persons. We implement reasonable safeguards, but you acknowledge that no online service is perfectly secure.

20. Intellectual property; Provider content

20.1 SessionIQ IP

SessionIQ, including software, designs, trademarks, and documentation, is owned by Kairos or its licensors. Except for the limited right to use the Service under these Terms, no rights are granted.

20.2 Your content

You retain ownership of Client Information and other content you submit. You grant Kairos a worldwide, non-exclusive license to host, process, transmit, display, and otherwise use that content solely as needed to provide, secure, and improve SessionIQ and as otherwise described in the Privacy Policy.

21. Service changes; beta features

We may modify, suspend, or discontinue features with reasonable notice where practicable. We may offer beta or preview features that are experimental and may change or end.

Controlled Beta limitations (including invite-only signup or recipient containment) are operational measures and may change as SessionIQ opens more broadly. Those changes do not themselves require a separate contract unless we say so.

22. Suspension; termination; account deletion

We may suspend or terminate access for unpaid SessionIQ fees, suspected fraud/abuse, legal risk, or material Terms violations.

You may stop using SessionIQ at any time and may cancel your subscription as described in Section 13.

Account deletion is separate from cancellation. To request deletion of your Provider account and associated operational data, email privacy@seshiq.com. During Controlled Beta, deletion may be handled manually. Deletion is not necessarily immediate or complete as to records we must or may retain (legal, security, fraud prevention, dispute, transaction/accounting, or similar records), as described in the Privacy Policy.

23. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SESSIONIQ IS PROVIDED “AS IS” AND “AS AVAILABLE.” KAIROS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
• INVOICES WILL BE PAID;
• IMPORTS, MATCHES, OR DRAFTS WILL BE COMPLETE OR CORRECT WITHOUT YOUR REVIEW; OR
• INTEGRATIONS WITH THIRD PARTIES WILL REMAIN AVAILABLE ON THE SAME TERMS.

24. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF SESSIONIQ, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KAIROS’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO KAIROS FOR SESSIONIQ SUBSCRIPTION FEES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

These limits do not apply to liability that cannot be limited under applicable law.

25. Indemnification

You will defend, indemnify, and hold harmless Kairos and its officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

• Your use of SessionIQ
• Your Client Information and client relationships
• Your invoices, payment requests, refunds, chargebacks, or professional services
• Your violation of these Terms or applicable law
• Your integrations and the permissions you grant

26. Governing law; disputes

These Terms are governed by the laws of the State of Florida, excluding conflict-of-law rules that would require another jurisdiction’s laws.

Subject to any non-waivable rights you may have, the state and federal courts located in Florida will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and you consent to personal jurisdiction there. These Terms do not require arbitration.

27. Changes to these Terms

We may update these Terms from time to time. When we publish material changes, we will update the Effective Date and may provide in-product notice. Material revisions may later require you to agree again before continued workspace use.

Where we require a new agreement to a material change, continued use alone is not a substitute for that step. Where we have not required a new agreement, continued use after the effective date of updated Terms constitutes acceptance only where permitted by law.

We may provide notices through the Service, by email to your account email, or by other reasonable means.

29. Miscellaneous

If any provision of these Terms is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. These Terms (together with the Privacy Policy and any plan-specific checkout disclosures) are the entire agreement regarding SessionIQ and supersede prior conflicting understandings on that subject.
